Terms of Service

These terms cover your use of the DIAMII website and the agents on it. Paid work is covered by a separate written agreement, not by this page.

1. Who we are

This website is operated by DIAMII LLC, a limited liability company registered in the State of Colorado, USA. In these terms "we", "us" and "DIAMII" mean that entity. "You" means you, or the organization you represent.

2. Using this website

You may read, browse and share this website freely. You agree not to:

• attempt to break, overload, probe or gain unauthorised access to the site or the agents on it;
• scrape or copy the site in bulk, or reuse our content as your own;
• use our agents to generate unlawful, abusive, misleading or infringing material;
• submit anyone else's personal or confidential information without the right to do so.

We may change, suspend or withdraw any part of this website at any time.

3. The agents on this website

Several agents are available to you here at no charge, and with no obligation on either side:

• Vera, our AI advisor, produces an AI-readiness view and a written 90-day plan.
• Flo, our workflow advisor, produces a first agent brief.
• Dia answers questions about DIAMII from our own published content.
• Reed, Gil and Clade work out whether a particular DIAMII agent fits your business, and book a call if it does.

Whichever of them you talk to, the following apply:

• These agents are AI, and they can be wrong. Their output is a starting point for a human conversation, not a professional recommendation.
• Their output is not advice. Nothing they produce is legal, financial, regulatory, insurance, tax or employment advice. Take professional advice before acting on any of it.
• They do not quote prices or commit us to anything. Scope, fees and timelines come out of a conversation with a person and are settled in writing.
• The output is yours. You may keep, share and act on the roadmap, brief or summary they produce, including with another supplier. We claim no ownership of it.
• They may be unavailable. We give no uptime commitment for free tools.
• Don't paste sensitive material into them. Please do not submit customer data, policy documents, health information, payment details or anything confidential.

An agent that runs on this website is a different thing from an agent we build and operate for you. This section covers the first. Section 4 and your own agreement cover the second.

4. Paid work

Any agent we design, build or operate for you — including The Checker, Book Miner Agent, the Content Agent, a website agent, or an agent built for a workflow of your own — is governed by a separate written agreement covering scope, fees, timelines, data handling, acceptance and termination. Where that agreement and this page disagree, that agreement wins.

Nothing on this website is an offer capable of acceptance, a fixed price, or a guarantee of any particular result. Timelines shown on the site are typical ranges, not commitments.

5. Your content and our content

You keep everything you own. Material you provide to us stays yours. You grant us only the permission needed to do the work you have asked for.

We keep everything we own — this website, our text, our designs and the underlying methods and software behind our agents. Nothing here transfers any of that to you. Where a paid agreement grants you rights in a deliverable, that agreement sets out what those rights are.

6. Liability

The website and the free agents on it are provided "as is". To the fullest extent the law allows, we exclude implied warranties and are not liable for indirect or consequential loss, lost profit, lost business, lost data or lost goodwill arising from your use of this website or those agents.

We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.

Liability arising from paid work is governed by the relevant written agreement.

7. General

We may update these terms. The date at the top shows the current version, and continuing to use the site means you accept the version then published.

These terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules. You and DIAMII agree that the state and federal courts located in the State of Colorado have exclusive jurisdiction over any dispute arising out of these terms or your use of this website, and each party consents to personal jurisdiction there.

If any provision of these terms is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it.

How we handle personal data is set out in our Privacy Policy. The limits of what our agents do are set out in our Disclaimer. Both form part of these terms.
